Background

Zodiac Energy has entered into an agreement with Amanta Healthcare Limited to install a 10.8 megawatt peak (MWp) solar power plant in Gujarat, according to a regulatory filing made under SEBI’s disclosure rules.

The parties signed the agreement. It covers the installation of a solar project at Village Baroda in Matar taluka of Kheda district. Amanta Healthcare will use all the electricity generated by the plant for its own operations, meeting its energy needs with renewable power.

In its filing, Zodiac Energy clarified that the two companies do not have any ownership links. Zodiac Energy does not own any shares in Amanta Healthcare, and neither company has any connection with the other’s promoter or promoter group. The company also confirmed that the agreement does not fall under related-party transactions.

The solar project will be executed on terms mutually agreed upon by both parties. Zodiac Energy stated that the arrangement does not include any provisions for board representation, nominee directors, or special management rights. The company also said there are no known conflicts of interest linked to the agreement.

Zodiac Energy added that details related to the termination or amendment of the agreement are not applicable at this stage. No shares will be issued as part of the deal, and the agreement focuses only on the execution of the solar power installation.

The project highlights the growing use of renewable energy by Indian companies, especially in the healthcare sector, as businesses look to cut energy costs and lower their carbon footprint.

For Zodiac Energy, the agreement strengthens its presence in the solar infrastructure space and reflects continued demand for captive solar power projects in Gujarat.
